Terms of Service

These Terms of Service ("Terms") govern your access to and use of Klimb, operated by Katapult Media, Inc. ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Klimb is a white-label platform that lets creators ("Creators") build, brand, and sell online courses to their audiences ("Learners"). Creators run independent academies hosted by Klimb on a klimblearn.com subdomain or a connected custom domain.

2. Accounts

• You must provide accurate information and keep your account credentials secure.
• You are responsible for all activity under your account.
• You must be at least 18 years old to create a Creator account.
• Notify us promptly of any unauthorized use of your account.

3. Creator Responsibilities

As a Creator, you are solely responsible for:

• The content of your courses and the accuracy of your marketing claims.
• Owning or licensing all content you upload, and not infringing others' rights.
• Your relationship with your Learners, including support, refunds, and disclosures.
• Complying with laws applicable to your business, taxes, and any regulated subject matter.
• Your own Stripe account, its terms, and the tax handling of your sales.

4. Payments, Fees & Payouts

• Stripe Connect: Creators sell through their own connected Stripe account. Funds settle to the Creator per Stripe's payout schedule.
• Platform Fee: Klimb charges a per-sale platform fee that varies by plan. Stripe's processing fees are separate and always apply.
• Subscription Fees: Paid plans are billed in advance and are non-refundable except where required by law.
• Refunds to Learners: Creators set and administer their own refund policies; we provide tooling to issue refunds and revoke access.

5. Acceptable Use

You agree not to use the Service to:

• Upload unlawful, infringing, harmful, or deceptive content.
• Violate the privacy or rights of others, including your Learners.
• Attempt to breach security, isolation between academies, or access data that isn't yours.
• Resell or sublicense the Service except as expressly permitted.

We may suspend or terminate accounts that violate these Terms.

6. Content & Ownership

You retain ownership of the content you upload. You grant us a limited license to host, process, transcode, and deliver that content solely to operate the Service. We own the Klimb platform, software, and brand; nothing here transfers those rights to you.

7. Custom Domains

If you connect a custom domain, you represent that you control it. We issue and renew TLS certificates on your behalf to serve your academy securely. You remain responsible for your domain registration and DNS.

8. Termination

You may cancel at any time from your account settings. We may suspend or terminate access for violations of these Terms or non-payment. On termination you may export your data for a reasonable period; afterward we may delete it in accordance with our Privacy Policy.

9. Disclaimers

The Service is provided "as is" without warranties of any kind, to the maximum extent permitted by law. We do not guarantee uninterrupted or error-free operation, or any particular sales or results from your academy.

10. Limitation of Liability

To the maximum extent permitted by law, the Company is not liable for indirect, incidental, or consequential damages, or for lost profits or data. Our aggregate liability is limited to the amounts you paid us for the Service in the 12 months preceding the claim.

11. Changes to These Terms

We may update these Terms from time to time. We will update the "Effective Date" and, for material changes, provide notice. Continued use after changes constitutes acceptance.
